As announced by Canon Inc., an absorption-type company split involving Canon Inc. (the successor company) and Canon Medical Systems Corporation (the company to be split) was resolved today at a meeting of the Canon Inc. Board of Directors, and an absorption-type company split agreement was concluded between Canon Inc. and Canon Medical Systems Corporation.
After the absorption-type company split on Wednesday, April 1, 2026, Canon Medical Systems Corporation will operate as a specialized entity responsible for sales and service in Japan. With the aim of creating a structure that achieves high profitability and growth for the entire group, operations such as development, manufacturing, and administration will be managed in an integrated manner with Canon Inc. so as to maximize Canon's technological capabilities, quality control, and cost reduction efforts. On the other hand, domestic operations will be demerged and continue to operate as a separate company in order to further strengthen relationships with customers and ensure prompt responses to their needs. In accordance with this reorganization, the Board of Directors of Canon Medical Systems Corporation, at a meeting held on Tuesday, December 23, 2025, informally decided on the following candidates for the Board of Directors as well as personnel changes for corporate officers, as of April 1, 2026. These new appointments will be submitted at the Board of Directors’ meeting and the Ordinary General Meeting of Shareholders to be held in 2026.
